Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Calypta Health platform and services ("Services") provided by Calypta Systems, Inc. ("Calypta," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. Where we ask you to confirm your agreement explicitly — as described in Section 4 — that confirmation is the operative act of acceptance.

If you do not agree to these Terms, do not use our Services.

1. Important Medical Disclaimer

CALYPTA HEALTH PROVIDES EDUCATIONAL CONTENT ONLY. IT IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

The information provided through our Services, including content in flows and AI-generated chat responses, is intended to help you understand health topics and have informed conversations with your healthcare providers. It is not intended to:

  • Replace consultation with a qualified healthcare professional
  • Provide medical diagnoses
  • Recommend specific treatments for your individual circumstances
  • Create a doctor-patient relationship

Always consult with a licensed physician or other qualified healthcare provider before making any health-related decisions. Never disregard professional medical advice or delay seeking it because of something you read or heard through Calypta Health.

If you think you may have a medical emergency, call your doctor or emergency services immediately.

2. Eligibility

You must be at least 18 years old to use our Services. By using Calypta Health, you represent and warrant that you are at least 18 years of age. This applies whether you access our Services through a public health guide, a partner-sponsored pass, or a Partner Account.

Some of our content addresses health decisions for minors. In these cases, the user is the parent or guardian making the decision, not the minor.

The Services are operated from the United States and intended for users in the United States. Content reflects U.S. health guidance (for example, CDC and USPSTF recommendations) and may not apply elsewhere.

3. Account Terms

If you create a Partner Account to share flows with patients or members:

  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must provide accurate and complete information when creating your account
  • You must notify us immediately of any unauthorized use of your account

4. Public Guide Access and Agreement to These Terms

Our public health guides are freely accessible for browsing. The interactive content — cards, visualizations, and surveys — does not require an account or email address.

Before you begin an AI-powered conversation, you will be asked to confirm that you agree to these Terms and our Privacy Policy. Confirming your agreement — by checking the agreement box or, where we require email verification, by continuing through that step — constitutes your acceptance of the version of these Terms in effect on that date, and your representation that you are at least 18 years old. If you do not agree, do not start a conversation. The same confirmation step applies when you access a guide through a partner-sponsored pass.

In some circumstances (for example, abuse prevention) we may require you to verify an email address before starting a conversation. If you do, your verified email will be linked to your conversation session as described in our Privacy Policy.

Conversations are funded by Calypta or by community contributions and are provided at no cost to you, subject to availability.

5. Community Contributions

You may choose to contribute money to fund conversations for a guide. If you contribute:

  • Your contribution is a payment to Calypta Systems, Inc., a for-profit Delaware corporation. It is not a charitable donation and is not deductible as a charitable contribution.
  • Contributions fund conversation capacity for the guide you choose, but we do not guarantee when, or by whom, funded conversations will be used, and unused capacity does not expire on any fixed schedule.
  • Contributions are non-refundable, except where required by law.
  • Payments are processed by a third-party payment processor. We do not store your full payment card details.
  • Contributing does not give you any ownership interest in Calypta or any control over the content of the Services.

6. Acceptable Use

You agree to use our Services only for their intended purpose: health education and decision support. You agree not to:

  • Use the Services as a substitute for professional medical care. Our Services are educational tools, not replacements for consultation with qualified healthcare providers.
  • Attempt to extract, reverse-engineer, or manipulate our AI systems. This includes attempting to discover system prompts, circumvent content guidelines, or cause the AI to produce responses inconsistent with its intended purpose.
  • Use the Services for topics other than those explicitly offered. Our flows are designed for specific health decisions. Do not attempt to repurpose them for unrelated conversations.
  • Share false or misleading information about your identity, qualifications, or affiliation when creating a Partner Account.
  • Use the Services in any way that violates applicable laws or regulations, including healthcare privacy laws.
  • Interfere with or disrupt the Services or servers or networks connected to the Services.
  • Attempt to gain unauthorized access to any portion of the Services or any other systems or networks.
  • Use the Services to harass, abuse, or harm others, or to collect or store personal data about others without their consent.

7. Intellectual Property

The Services, including all content, features, and functionality (including but not limited to flow content, text, graphics, interactive elements, software, and the overall design), are owned by Calypta Systems, Inc. and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

Content you provide. You retain any rights you have in the messages you type during a conversation and in your survey responses. You grant Calypta a perpetual, non-exclusive, worldwide, royalty-free license — including the right to have our service providers process content on our behalf — to process, de-identify (as described in our Privacy Policy), and use that content to operate, maintain, and improve the Services and to conduct research on health decision support. Content used for research or product improvement is used in de-identified form.

AI-generated responses. You may use the AI's responses in your conversation for your personal, non-commercial purposes. AI responses are generated by a machine, individually for each conversation. They are not reviewed by a clinician before you see them, and they should not be treated as medical advice from Calypta Systems, Inc. or from any healthcare professional.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted, secure, or error-free
  • The results obtained from the Services will be accurate or reliable
  • The quality of any information obtained through the Services will meet your expectations
  • Any errors in the Services will be corrected

AI-generated content may contain errors or inaccuracies. While we strive for accuracy, you should verify any information before relying on it for health decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALYPTA SYSTEMS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use of or inability to use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, FOR USE OF THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Calypta Systems, Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your violation of applicable law, or your violation of any rights of any third party.

11. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Binding Arbitration

You and Calypta Systems, Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration, rather than in court, except that either party may bring claims in small claims court if they qualify.

Arbitration Rules

Arbitration shall be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be held in the county where you live or another mutually agreed location, or, at your election, conducted by telephone, videoconference, or based solely on written submissions.

Coordinated Filings

If twenty-five (25) or more arbitration demands raising similar claims are filed against Calypta by or with the assistance of the same or coordinated counsel or organizations, you and Calypta agree that the AAA's Mass Arbitration Supplementary Rules and its then-applicable fee schedules shall apply, and that the demands shall be resolved in staged batches as follows. The AAA (or a Process Arbitrator appointed under those rules) shall group the demands into an initial batch of up to twenty-five (25), selected randomly or chronologically by filing date. Each demand shall be arbitrated individually, and no award or ruling shall bind, or have precedential effect for, any claimant or demand that was not a party to it.

While a batch proceeds, the remaining demands shall be held in abeyance, and per-case filing and arbitrator compensation fees for held demands shall not yet be due. This deferral does not apply to initiation or process fees that the AAA's mass-arbitration fee schedule makes due at filing. Within thirty (30) days after a batch concludes, the parties shall meet and confer in good faith regarding resolution of the remaining demands; absent resolution, the next batch shall automatically commence, and each successive batch shall be up to double the size of the preceding batch. Applicable statutes of limitations shall be tolled for each demand from its filing until it proceeds. This provision does not prevent any individual claimant from electing small claims court instead.

Class Action Waiver

YOU AND CALYPTA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to privacy@calyptahealth.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration provision.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

13. Termination

We reserve the right to suspend or terminate your access to the Services at any time, for any reason, without notice or liability. This includes, but is not limited to, violations of these Terms or conduct that we believe is harmful to other users, us, or third parties.

You may stop using the Services at any time. If you have a Partner Account, you may request account deletion by contacting us at privacy@calyptahealth.com.

Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page.

The version of these Terms you accept when you start an AI conversation governs that conversation. When we make material changes, starting a new conversation requires accepting the revised Terms.

We will notify Partner Account holders of material changes by email or through the Services. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Calypta Systems, Inc. regarding the Services.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
